1. Acceptance of Terms

By accessing or using ArmoryFlow ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. We reserve the right to modify these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.

2. Description of Service

ArmoryFlow provides software-as-a-service (SaaS) inventory management tools specifically designed for firearm retailers. The Service enables users to manage product listings, track inventory, and display catalogs to customers.

3. Account Registration and Eligibility

3.1 Eligibility

You must meet the following requirements to use the Service:

• Be at least 18 years of age
• Be a legally authorized representative of a firearm dealership or business
• Hold all necessary federal, state, and local licenses required to sell firearms in your jurisdiction
• Comply with all applicable laws and regulations regarding firearms commerce

3.2 Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Ensuring your account information is accurate and current

4. License Grant and Restrictions

4.1 License Grant

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

4.2 Restrictions

You agree NOT to:

• Copy, modify, distribute, sell, or lease any part of the Service
• Reverse engineer, decompile, or attempt to extract source code
• Remove, alter, or obscure any proprietary notices
• Use the Service for any unlawful purpose
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to the Service
• Use automated systems (bots, scrapers) without written permission
• Resell or sublicense the Service without authorization

5. User Responsibilities and Compliance

5.1 Firearms Regulations

You acknowledge and agree that:

• You are solely responsible for compliance with all federal, state, and local firearms laws
• ArmoryFlow does not facilitate the sale or transfer of firearms
• You must maintain all required licenses and permits
• You must conduct proper background checks as required by law
• You must maintain accurate records as required by the ATF and other authorities

5.2 Content Accuracy

You are responsible for:

• The accuracy of all product listings and information
• Compliance with advertising and consumer protection laws
• Ensuring product descriptions do not violate any laws
• Removing prohibited or illegal items from your inventory

6. Data Ownership and Intellectual Property

6.1 Your Data

You retain all ownership rights to data you upload to the Service, including product listings, images, and descriptions ("User Content"). By uploading User Content, you grant us a limited license to:

• Store, process, and display your content for providing the Service
• Create anonymized, aggregated data from your inventory information for analytics, reporting, industry insights, and product improvements
• Display strategic advertisements and marketing on behalf of partners within the Service

Anonymized Data: We may anonymize your product data (descriptions, pricing, location, inventory details) and use this anonymized data for aggregate analytics, industry benchmarking, and research. Anonymized data cannot be used to identify you or your business and is not considered personal information.

6.2 Our Intellectual Property

The Service, including all software, designs, text, graphics, logos, and trademarks, is owned by ArmoryFlow and protected by intellectual property laws. You do not acquire any ownership rights by using the Service.

7. Payment Terms

7.1 Subscription Fees

Access to certain features requires payment of subscription fees. Fees are charged in advance on a recurring basis (monthly or annually) and are non-refundable except as provided in our Refund Policy.

7.2 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You authorize us to charge your payment method on file for renewal fees.

7.3 Price Changes

We reserve the right to change subscription prices with 30 days' notice. Price changes will apply to your next billing cycle after the notice period.

7.4 Failed Payments

If payment fails, we may suspend or terminate your account. You remain responsible for all outstanding fees. We may attempt to charge your payment method multiple times to collect past-due amounts.

8. Termination

8.1 Termination by You

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of your current billing period.

8.2 Termination by Us

We may suspend or terminate your account immediately if:

• You violate these Terms or any applicable law
• Your account is inactive for more than 12 months
• We suspect fraudulent, abusive, or illegal activity
• Required by law enforcement or legal process
• You fail to pay fees owed

8.3 Effect of Termination

Upon termination:

• Your access to the Service will be immediately revoked
• We will retain your data for 30 days to allow export
• After 30 days, we may permanently delete your data
• You remain responsible for all fees incurred before termination

9. Disclaimers and Limitation of Liability

9.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9.2 No Guarantee

We do not guarantee that:

• The Service will be uninterrupted, secure, or error-free
• Results obtained from the Service will be accurate or reliable
• Any errors will be corrected
• The Service will meet your specific requirements

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARMORYFLOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless ArmoryFlow, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any law or regulation
• Your User Content
• Your sale or transfer of firearms
• Any claim that your User Content infringes third-party rights

11. Dispute Resolution

11.1 Governing Law

These Terms are governed by the laws of the State of Pennsylvania, without regard to conflict of law principles.

11.2 Arbitration Agreement

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules. The arbitration shall take place in Radnor, PA. Each party shall bear its own costs.

11.3 Class Action Waiver

You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class action, consolidated action, or representative action.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy and other policies referenced herein, constitute the entire agreement between you and ArmoryFlow regarding the Service.

12.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

12.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

12.5 Force Majeure

We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, war, strikes, natural disasters, or internet outages.
